Terms and Conditions

1. Acceptance of Terms

By accessing or using MyBizRecord ("Platform"), you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

2. Description of Services

MyBizRecord provides software-as-a-service (SaaS) tools including invoicing, receipt generation, analytics, business tracking, and related digital services. We may modify, suspend, or discontinue any feature at our discretion without prior notice.

3. User Accounts

You agree to:

• •Provide accurate and complete information.
• •Maintain confidentiality of login credentials.
• •Accept responsibility for all activities under your account.

We reserve the right to suspend or terminate accounts for violation of these Terms.

4. Subscription & Payments

• •Certain features require paid subscription.
• •Subscription fees are non-refundable unless required by law.
• •We may revise pricing with notice.
• •Failure to pay may result in suspension.

5. Service Availability Disclaimer

The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, secure, or error-free access. We shall not be liable for:

• •Server downtime
• •Technical disruptions
• •Third-party service failures
• •Internet outages
• •Payment gateway failures
• •Data loss beyond our reasonable control

Users acknowledge that temporary interruptions may occur.

6. Limitation of Liability

To the maximum extent permitted under Nigerian law: MyBizRecord Limited shall not be liable for:

• •Indirect or consequential damages
• •Loss of profits or revenue
• •Business interruption
• •Loss of goodwill
• •Data loss
• •Tax or regulatory penalties incurred by users

Total liability shall not exceed the total subscription fees paid by the user in the 30 days preceding the claim.

7. User Responsibility

Users are solely responsible for:

• •Accuracy of invoices created
• •Compliance with tax laws and VAT obligations
• •Business transactions conducted using the Platform
• •Verification of payments received

MyBizRecord does not guarantee debt recovery or enforce payment between parties.

8. Intellectual Property

All software, trademarks, branding, source code, and proprietary systems remain the exclusive property of MyBizRecord Limited. Unauthorized copying, resale, reverse engineering, or exploitation is prohibited.

9. Force Majeure

MyBizRecord shall not be liable for failure or delay in performance due to causes beyond reasonable control, including but not limited to:

• •Acts of God
• •Natural disasters
• •Government actions
• •Regulatory restrictions
• •War, terrorism, civil unrest
• •Internet or telecommunications failures
• •Power outages
• •Pandemic or epidemic events

Performance shall be suspended for the duration of such events.

10. Dispute Resolution & Arbitration

Any dispute arising out of or relating to these Terms shall be resolved through arbitration in Nigeria in accordance with the Arbitration and Mediation Act, 2023.

• •The seat of arbitration shall be Lagos, Nigeria.
• •Proceedings shall be conducted in English.
• •The decision of the arbitrator shall be final and binding.

Users agree to waive the right to initiate court proceedings except for enforcement of arbitral awards.

11. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria.
